The rules and guidelines for using Successlink Technology services and this website.
These Terms govern your access to and use of all content, products, and services made available through the Successlink Technology LLC website and related engagement channels (the "Service"), operated by Successlink Technology LLC ("us", "we", or "our").
Your access to our services is subject to your acceptance, without modification, of the terms and conditions stated here and any additional operating policies we publish from time to time.
Please read this Agreement carefully before accessing or using our Services. By accessing or using any part of our Services, you agree to be bound by these Terms. If you do not agree, you must not access or use our Services.
Service Agreements and Payment
Professional technology services—including software development, cloud engineering, security consulting, integrations, and managed support—are provided under a separate Service Agreement, master services agreement, or Statement of Work ("SOW") that defines scope, deliverables, timelines, fees, and acceptance criteria. Fees are due as specified in the SOW. Third-party platform fees (for example, cloud usage or licensed software) may be billed directly by the vendor or through us as agreed in writing. We may suspend Services for material non-payment after notice where contractually permitted.
Intellectual Property
Except as expressly stated in a signed SOW, this Agreement does not transfer to you any intellectual property owned by Successlink Technology LLC or its licensors. Pre-existing tools, frameworks, libraries, and methodologies remain our property. Deliverables identified in the SOW as custom work for you and paid in full generally become yours as stated in that document, subject to retained rights in underlying components that are licensed rather than sold.
Third-Party Services
Our implementations may rely on third-party products, APIs, cloud regions, or open-source components ("Third-Party Services"). Your use of those services may be subject to the provider's terms.
If you use any Third-Party Services in connection with our work, you understand that:
- Use of a Third-Party Service is at your own risk, and we are not responsible for third-party websites, policies, outages, or pricing changes.
- We are not liable for loss or damage alleged to arise from content, goods, or services accessed through third-party sites or APIs, except where mandatory law provides otherwise.
Accounts
Where a portal, ticketing system, or other account is provided, you agree to supply accurate registration information and to keep credentials confidential.
You are responsible for activity under your account and for notifying us promptly of suspected unauthorized access.
Termination
We may suspend or terminate access to Services in accordance with the governing SOW, including for material breach or non-payment. Provisions that by their nature should survive—including ownership, confidentiality where applicable, warranty disclaimers, indemnity, and limitations of liability—survive termination.
Disclaimer
Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. Successlink Technology LLC and its suppliers and licensors disclaim all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Technology outcomes depend on many factors outside our control; we do not guarantee specific uptime figures, security incidents, search rankings, revenue, or ROI unless explicitly committed in a signed SOW.
Jurisdiction and Applicable Law
Except where applicable law provides otherwise, this Agreement and any dispute arising from the Services shall be governed by the laws of the State of Missouri, without regard to conflict-of-law rules.
Changes
Successlink Technology LLC may modify these Terms from time to time. Material changes will be communicated with reasonable advance notice when practicable. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
